Timeless Custom Business Font License
For organisations of up to 100 members that need the Timeless type family made their own. One brand, every medium, the custom work exclusive to you for 3 years.

1Introduction
The Timeless type family is free for everyone, and it stays that way. Some organisations need more than the configurator offers: glyphs drawn for them, another script, alternates of their own, a name of their own. We make those under commission, and this contract says how the fonts we deliver may be used.
This is the Business license, for organisations of up to 100 members. It covers one brand, and the custom work stays exclusive to you for 3 years. Organisations of more than 100 members are covered by the Timeless Custom Enterprise Font License at timeless.co/type/license/custom-enterprise.
The commission itself, what we make, by when and for how much, is agreed separately in a statement of work. This contract takes over once the fonts are delivered.
2Definitions
"We" and "us" are Timeless Ventures Private Limited, Chennai, the design studio that publishes the fonts and holds the copyright in them.
"You" are the organisation named in the statement of work, together with its parent companies, subsidiaries and affiliates. An agency that commissions custom fonts for a client is never the licensee; the client is.
"Members" are everyone who works for you: employees, full-time or part-time, and contractors engaged on an ongoing basis, counted worldwide across you and your parents, subsidiaries and affiliates. Headcount is the only measure; revenue and stock-market listing play no part.
"The base fonts" are the Timeless type family as we publish it under the Timeless Free Font License.
"The custom fonts" are the font files we deliver to you under this contract, including static instances, variable fonts and embedding conversions of them.
"The custom work" is everything in the custom fonts that is not in the base fonts: glyphs, alternates, character sets, language support, spacing, kerning, features, names and any other change made for you.
A "brand" is a name, mark or identity under which you trade.
A "subcontractor" is any third party working on your behalf, such as a design agency, developer, printer or production house.
An "embedding conversion" is subsetting, hinting, compressing or converting the custom fonts to another font format (such as WOFF or WOFF2) solely so that they can be delivered as part of a work.
A "work" is any document, website, application, video, product, artwork or other output that is set in the custom fonts.
The "Timeless name" is "Timeless" and any font name that begins with or contains it.
3Who is covered
3.1Your size
This license is for organisations with up to 100 members on the date of the statement of work.
3.2One brand
This license covers the one brand named in your statement of work. Using the custom fonts for another brand needs a further statement of work.
3.3Nothing else is counted
There are no limits on users, devices, domains, apps, impressions, page views or projects.
3.4Growing
If you come to have more than 100 members, you must move to the Timeless Custom Enterprise Font License within 90 days of passing that limit. The fee you paid for this license is deducted from the Enterprise fee. During those 90 days your rights under this contract continue; if you have not moved by then, they are suspended until you do.
4Contract & grant of rights
This contract comes into force when we have received the fee agreed in the statement of work. In return we grant you a perpetual, worldwide license to use the custom fonts on the terms below. The license is exclusive as to the custom work for the period in section 6, and non-exclusive as to everything else.
The custom fonts are licensed, not sold. We keep the copyright and every other right in the base fonts and the custom work that this contract does not give you.
The license may pass to a successor to the whole of your business if you tell us in writing. It may not otherwise be transferred, assigned or sublicensed.
5What you can do
5.1Any use, any medium
You may use the custom fonts for any purpose in any medium, including print, web, applications, video, games, packaging, signage, products and marks.
5.2Your brand
You may use the custom fonts for the brand named in your statement of work.
5.3Everyone in your organisation
Every member may install and use the custom fonts. There are no seats to count.
5.4Subcontractors
You may give the custom fonts to subcontractors for work they do on your behalf, provided a copy of this contract accompanies them. They may use the custom fonts only for that work and must delete their copies when it ends. No subcontractor pays anything.
5.5Web, apps and embedding
You may embed the custom fonts in websites, applications, documents, PDFs, ebooks, games and video, and you may make embedding conversions for that purpose, provided the resulting files are delivered only as part of the work and are not offered for download on their own.
5.6Logos and marks
You may use the custom fonts in a logo or mark, and you may convert text set in them to outlines within a specific work. Doing so gives you no right in the typeface design itself, and you may not claim exclusive rights in its letterforms as such.
5.7Your work is yours
Works created with the custom fonts are not subject to this license and remain entirely yours. No attribution is required.
5.8The free fonts
Nothing in this contract limits your use of the base fonts under the Timeless Free Font License.
6The custom work
6.1We keep the copyright
The custom work is ours, as the base fonts are. What you receive is the right to use it as described here, exclusive to you as set out in 6.2.
6.2Exclusive to you
For 3 years from delivery we will not license the custom work to anyone else and will not release it as part of the base fonts.
6.3After exclusivity
Once that period ends we may fold the custom work into the base fonts or license it to others. Your license continues unchanged.
6.4The design stays ours
Exclusivity covers the custom work, not the typeface design in the base fonts, which we go on publishing and developing. Nothing in this contract stops us from making other custom fonts for other clients.
6.5Naming
The custom fonts carry the name agreed in the statement of work. Any trademark in that name is yours. The name may not contain the Timeless name. The font files record us as designer and name the base family in their description, and those records may not be removed or altered.
7Restrictions
Now that you know what you can do, here is what you can't do:
- Sell, sublicense, rent or lend the custom fonts
- Give the custom fonts to anyone who is not a member or a subcontractor working for you, or give them to anyone without a copy of this contract
- Put the custom fonts on a font service, a public server or a public repository
- Use the custom fonts for any brand other than the one named in your statement of work
- Modify the custom fonts by adding to, deleting from or substituting any of their components, by changing formats or by porting them to a new environment, other than through an embedding conversion. Every change comes from us, and we do not deliver source files
- Decompile or reverse engineer the custom fonts, or extract their outlines to make another font
- Make new fonts based on the design that is in the custom fonts or the base fonts
- Rename the custom fonts, remove the designer and description records in them, or use the Timeless name to name any font, product or service
- Use the custom fonts, or the designs embodied in them, to train, fine-tune or otherwise develop an artificial intelligence or machine learning system, or include them in a dataset made for that purpose. Using such tools to help make a work set in the custom fonts is fine
8Changes & updates
8.1Further changes
Any further customisation is quoted separately and delivered under this contract. Write to hello@timeless.co.
8.2Updates to the base fonts
We do not promise to keep the custom fonts in step with future releases of the base fonts. Bringing them up to date is a further change under 8.1.
9Showcase
Until your work is public we keep the commission confidential. Once it is, we may name you as a client and show the custom fonts in use on our website, in publications and in case studies, unless you tell us in writing that you would rather we did not.
10Miscellaneous
10.1Termination
If you break this contract, all of your rights under it end automatically, you must stop using the custom fonts and you must delete every copy, including those held by subcontractors. Works created before that are unaffected.
10.2Warranties
THE CUSTOM FONTS ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF COPYRIGHT, PATENT, TRADEMARK, OR OTHER RIGHT.
10.3Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS CONTRACT OR THE CUSTOM FONTS, WHETHER IN CONTRACT, TORT OR OTHERWISE, IS LIMITED TO THE FEE YOU PAID US UNDER THE STATEMENT OF WORK, AND IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES.
10.4Governing law & jurisdiction
This contract is governed by the laws of India. The courts at Chennai, Tamil Nadu, have exclusive jurisdiction over any dispute arising out of or relating to it.
10.5The whole agreement
This contract and your statement of work are the entire agreement between us about the custom fonts. The statement of work governs the commission; this contract governs the fonts. If they conflict about the fonts, this contract prevails. If any part of either is found unenforceable, the rest stays in force. We may publish new versions of this license, but the version named in your statement of work keeps applying to your custom fonts.
